Partner Program Terms
Last updated: November 4, 2026
These Partner Program Terms ("Partner Terms") govern your participation in the partner program of Centoculus. The program is operated by Nona Consult LLC, 30 North Gould Street, Sheridan, WY 82801, United States ("we", "us"). By applying as a partner you accept these Partner Terms ("you", "partner").
1. The program
1.1 As a partner you recommend Centoculus to others. For customers you refer, you receive a commission on the payments we receive from them, as described in section 4.
1.2 The program is open to businesses and to individuals aged 18 or over who act in the course of a business or professional activity (for example as a publisher, blogger, video creator or agency). You participate as an independent contractor. These Partner Terms do not create an employment, partnership, joint venture or agency relationship; you may not make statements or commitments on our behalf.
1.3 There is no obligation to refer customers, and no exclusivity on either side.
2. Application and account
2.1 You apply through the partner area. We review each application and may reject it without giving reasons. The partnership starts when we approve your application.
2.2 Your information must be complete and true and kept up to date in the partner area. You keep your login data confidential and are responsible for activity in your account.
2.3 The program is not available to persons or companies that are resident in, or act on behalf of anyone in, a country or region subject to comprehensive sanctions, or that appear on a sanctions list. We check this at application, when you change your profile or payout account, and before every payout.
2.4 Partner accounts without any click and without any referred sign-up for 365 days, and that never earned a commission, are closed and deleted. We remind you by e-mail at least three months before; any click or sign-up through your links in the meantime keeps your account open.
3. Links, voucher codes and attribution
3.1 In the partner area you receive a standard link with a code, and you can create further links with their own codes. Each code also works as a voucher code that customers can enter themselves (for example in a video or podcast). We suggest a code; you can change it as long as it has not been used.
3.2 Your standard link stays valid as long as your partner account exists. Further codes expire if they are not used (no click, no sign-up, no redeemed voucher) for 365 days; an expired code may later be given to someone else. Customers already referred are not affected.
3.3 A customer is referred by you if they create an account
(a) through your link, with your code in the address,
(b) within 90 days after clicking your link, as far as our partner cookie is set (see 3.4),
(c) after joining our early access list through your link (within 12 months), or
(d) by entering your voucher code at sign-up or later, before their first payment.
If several partners qualify, the code entered by the customer or contained in the address at sign-up wins over the cookie, and the cookie over an early access sign-up. Once a customer is assigned to a partner, the assignment is permanent and is never transferred to another partner.
3.4 Visitors from the EU, the EEA and the United Kingdom only receive the partner cookie if they consent; elsewhere it is set when they arrive through your link. Visitors may block cookies or use other devices. We therefore cannot guarantee that every visit is attributed, and you have no claim for referrals we could not attribute with reasonable technical means. Our records of clicks, sign-ups and payments are decisive, unless you prove that they are wrong.
3.5 No commission is earned for:
(a) your own accounts and accounts of your company, your employees or persons acting on your behalf, in particular accounts with your e-mail address, your company's e-mail domain or a payment method you also use;
(b) customers who already had an account before they came through your link or code;
(c) referrals obtained in breach of section 5;
(d) payments that are refunded, charged back or not received.
4. Commission
4.1 The commission is a percentage of the net amount we actually receive from a referred customer for their Centoculus plan, after payment processing fees, currency conversion and taxes, converted to US dollars. The base rate is 25 %. Higher rates apply once the net amount received from all your referred customers within the last 12 months reaches: USD 12,000.00 → 30 %, USD 30,000.00 → 35 %, USD 60,000.00 → 40 %, USD 120,000.00 → 45 %, USD 240,000.00 → 50 %. The rate reached applies to new payments.
4.2 Hands-on help is different: when we work on a referred customer's systems on their request (for example to find and fix the cause of an outage), the commission on these payments is only 10 % of the net amount, because our staff's working time is behind it. The rates and tiers in 4.1 do not apply to hands-on help.
Prepaid balance: if a referred customer pays into a prepaid balance, the commission is not calculated on the deposit but once a month on the part of the balance used in that month: at the rate in 4.1 for monitoring and at the rate in 4.2 for hands-on help. Only balance paid by the customer counts, not credits granted by us. The waiting period in 4.4 starts at the end of that month. If we refund used balance, for example for an intervention we could not complete, it counts as not used; commission already credited on it is set off according to 4.4.
4.3 Commissions are paid for all payments of a referred customer, for as long as the customer stays with us (lifetime).
4.4 A commission becomes payable 45 days after the customer's payment. If the payment is refunded or charged back, the commission is cancelled; if it was already paid out, the amount is offset against your future commissions. If the commission was obtained through fraud or a breach of section 5, we may also demand repayment.
4.5 The current rates and conditions are shown in the partner area and on this page. We may change them for the future with at least 30 days' notice by e-mail. Commissions for payments received before the change are not affected. If you do not agree, you may end the partnership (section 8).
5. How you may promote Centoculus
5.1 You promote Centoculus honestly and in compliance with all applicable laws, in particular laws on advertising, unfair competition, consumer protection, e-mail marketing and data protection.
5.2 You clearly disclose that you receive a commission wherever the law or platform rules require it (for example "ad", "affiliate link", or rel="sponsored" on links), including the endorsement rules of the US Federal Trade Commission and the rules on hidden advertising in the EU.
5.3 You must not:
(a) send unsolicited e-mails, messages or comments (spam) or use purchased address lists;
(b) make false or misleading statements about Centoculus, its features, prices, discounts or about us, or create the impression that you are us;
(c) bid on "Centoculus" or confusingly similar terms in paid search ads, or register domains, social media accounts or app names containing our brand, without our written permission;
(d) set cookies or open our pages without a deliberate click by the user (for example through hidden frames, pop-unders, automatic redirects or software that inserts links), or otherwise generate artificial clicks or sign-ups;
(e) offer cash, gifts or other rewards for sign-ups, other than a discount we provide for your code;
(f) publish your links or codes on pages with illegal, hateful, violent, sexually explicit or otherwise harmful content, or in a way that infringes third-party rights;
(g) refer yourself or others acting on your behalf (see 3.5 (a)).
5.4 You may use our name, logo and the materials from the partner area only to promote Centoculus, unchanged and in line with our instructions; this right ends with the partnership. We may ask you to change or remove promotional content at any time.
6. Payouts
6.1 We pay out commissions monthly once your payable balance has reached at least USD 50.00. Payouts are made in US dollars by bank transfer, PayPal or Stripe to the payout account you set up in the partner area.
6.2 Before your first payout, you must provide a valid tax form (Form W-9 for US persons, Form W-8BEN or W-8BEN-E for others). A new or changed payout account must be confirmed through the link we send by e-mail; after a change, the next payout takes place no earlier than 7 days later.
6.3 Fees charged by the bank or payment service for the payout (for example for international transfers, currency conversion, PayPal or the Stripe account for payouts) are borne by you and deducted from the payout. The fees that apply are shown in the partner area before you choose a payout method.
6.4 For every payout we issue a statement (credit note) on your behalf. You agree to this self-billing and will not issue your own invoices for commissions. Please tell us if you are registered for VAT or a similar tax, so we can show your tax number.
6.5 Commissions include any VAT, sales tax or similar taxes that may apply. You are solely responsible for declaring and paying taxes on your commissions. Where we are legally required to, we report payments to the tax authorities (for example on Form 1099-NEC in the United States) or withhold taxes.
6.6 We may withhold payouts while we investigate a reasonable suspicion of fraud or a breach of these Partner Terms, and for as long as your account data, tax form or payout account is incomplete or cannot be verified.
7. Data protection
7.1 You do not receive personal data of visitors or customers from us, apart from the account name and the commission of paying customers you referred. You keep this information confidential and use it only to follow your commissions.
7.2 Each party is responsible for its own processing of personal data. On your own websites and channels you are responsible for complying with data protection and cookie laws. How we process your data as a partner is described in our privacy policy at https://centoculus.com/privacy.
8. Term and termination
8.1 The partnership runs for an indefinite period. Either party may end it at any time by e-mail or, for you, by closing your account.
8.2 We may suspend or end the partnership with immediate effect if you breach these Partner Terms, in particular section 5, provide false information, or if continuing it would be unlawful.
8.3 When the partnership ends, your links and codes stop working and no new commissions are earned. Commissions earned until then are paid out according to section 6, even if the balance is below the minimum payout. If we end the partnership because of a breach of section 5 or fraud, commissions not yet paid out that are connected with the breach lapse.
9. Liability
9.1 We provide the program and the tracking as they are and do not guarantee that links, cookies and the partner area are available or work without interruption.
9.2 Our liability for damages in connection with the program is limited to the commissions paid to you in the twelve months before the event giving rise to the claim. We are not liable for lost profits or indirect damages. These limitations do not apply to liability for intent or gross negligence, for injury to life, body or health, or where liability cannot be limited by law.
9.3 You indemnify us against claims of third parties and fines arising from your breach of these Partner Terms or of applicable law, including reasonable costs of legal defense.
10. Changes to these Partner Terms
We may change these Partner Terms for the future. We inform you by e-mail at least 30 days before a change takes effect. If you do not object within that period, the change is considered accepted; we will point this out in the e-mail. If you object, either party may end the partnership. Changes to rates are governed by section 4.5.
11. Final provisions
11.1 These Partner Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The courts competent for our registered office have exclusive jurisdiction, as far as legally permitted.
11.2 Notices under these Partner Terms are given by e-mail to the address in your partner account or to support [at] centoculus [dot] com.
11.3 If a provision is invalid, the remaining provisions remain valid; the invalid provision is replaced by a valid one that comes closest to its purpose.
11.4 These Partner Terms are written in English. Translations are for convenience only; the English version prevails.
